1. Agreement Overview
These Terms of Service ("Terms") govern the business relationship between Cozy Household Articles Co., Ltd. ("Cozy", "We", "Us", "Our") and business clients ("Client", "You", "Your") for the manufacture and supply of pregnancy pillows and maternity comfort products.
By placing an order or entering into a manufacturing agreement with Cozy, you acknowledge that you have read, understood, and agree to be bound by these Terms and any additional agreements executed between the parties.

3. Order & Manufacturing Terms
Minimum Order Quantity (MOQ)
Standard MOQ ranges from 100-300 pieces per style/color combination. Trial orders may be accepted at management discretion with adjusted pricing.
Sample Policy
Sample production: 3-7 business days. Sample fees are charged separately and may be deducted from mass production orders exceeding minimum thresholds.
Production Timeline
Mass production: 15-30 days after order confirmation and deposit receipt. Timeline may vary based on order complexity, quantity, and seasonal demand.
4. Pricing & Payment Terms
Payment Schedule
- • 30% deposit upon order confirmation
- • 70% balance before shipment
- • Alternative payment terms available for established clients

6. Intellectual Property & Confidentiality
Client Designs: All custom designs, logos, and branding materials provided by clients remain their exclusive intellectual property.
Confidentiality: Cozy commits to maintaining strict confidentiality of all client information, specifications, and business relationships.
Non-Competition: We will not produce identical designs for competing clients within the same market territory without explicit written consent.
7. Limitation of Liability
Cozy's liability is limited to the value of the specific order in question. We are not liable for indirect, consequential, or punitive damages including lost profits or business interruption.
Quality claims must be reported within 30 days of delivery with photographic evidence. Resolution may include replacement, credit, or refund at Cozy's discretion.
8. Governing Law & Disputes
These Terms are governed by the laws of the People's Republic of China. Any disputes shall be resolved through friendly negotiation first.
If negotiation fails, disputes shall be submitted to arbitration in accordance with the China International Economic and Trade Arbitration Commission (CIETAC) rules.
